Musk, a co-founder of OpenAI, departed from the company’s board in 2018. He contends that OpenAI’s shift from its original non-profit status to a “capped-profit” model represents a breach of its founding principles, which emphasized the development of artificial intelligence for the public good. Musk’s legal team argues that this structural change has led to alliances, particularly with Microsoft, that may suppress competition in the AI industry.

Allegations Against OpenAI and Microsoft

The lawsuit claims that OpenAI and Microsoft have engaged in practices that discourage investment in competing AI ventures, actions that purportedly contravene the Sherman Antitrust Act. Additionally, it alleges that OpenAI has improperly shared sensitive competitive information with Microsoft, violating the Clayton Act. OpenAI’s spokesperson, Hannah Wong, has dismissed these allegations as without merit.

OpenAI maintains that its transition to a “capped-profit” model was necessary to secure substantial funding required for advanced AI research and development. The organization asserts that this model balances profit motives with its mission to ensure that artificial general intelligence benefits all of humanity. OpenAI has previously stated that Musk was aware of and agreed to the structural changes during his tenure with the company.

Legal Proceedings and Implications

This motion for a preliminary injunction is part of a series of legal actions initiated by Musk against OpenAI in 2024. Earlier this year, Musk filed a lawsuit accusing OpenAI of abandoning its non-profit mission, which he later withdrew in June, only to refile in August with additional defendants, including Microsoft and venture capitalist Reid Hoffman.

The outcome of this legal battle could have significant implications for the AI industry, particularly concerning collaborations between AI research organizations and major technology corporations.
